Terms of Service

What the terminal is, what it deliberately is not, and the rules that come with using it.

Treat it as a description of how Aedex currently intends to operate, which is useful, and nothing more than that. Counsel-reviewed terms will replace this page before Aedex is offered commercially.

01The agreement

These terms govern your use of Aedex — the web application, the iOS application, and the APIs behind them. Using Aedex means you accept them. If you are agreeing on behalf of a company, you are confirming you have the authority to bind it.

02What Aedex is

Aedex is a research and analysis terminal for institutional commercial real estate. It aggregates property, ownership, debt and transaction records from public filings, registries and licensed sources, shows the provenance of each figure, and provides tools to screen, compare and underwrite against them.

It is an information tool. It does not execute transactions and does not hold client assets.

03What Aedex is not

Aedex is not investment advice, and nothing in it is a recommendation to buy, sell, finance or hold any asset or security. It is not an appraisal and is not a substitute for one. It is not a broker, dealer, investment adviser, or valuation professional, and it is not acting in a fiduciary capacity toward you.

Valuations, underwriting outputs, indices, stress scenarios and comparable analyses are analytical outputs from models and assumptions — including assumptions you set yourself. Independent verification and professional advice remain your responsibility before you act on anything you see here.

04Data accuracy and the trust model

Aedex is built on the principle that a number should have to earn its place. Every figure carries a trust state derived from the evidence behind it, not asserted by hand:

  • Verified — traced to a specific public record, filing or licensed source, with the source shown.
  • Partial — some supporting evidence, incomplete on its own.
  • Unverified — tracked but not yet corroborated.
  • Modelled — computed by an industry-standard method, labelled as modelled wherever it appears.

Certain metrics are private by nature — cap rate, net operating income, in-place rents, occupancy. Where these appear they are modelled or reported estimates, and they are never presented as verified, because in the general case they cannot be.

Sources can be wrong, stale, or incomplete, and records are amended over time. Aedex is provided as-is: we make no warranty that the information is accurate, complete or current, and you should confirm anything material before relying on it.

05Your account

You are responsible for your credentials and for activity under your account. Accounts are for a named individual and may not be shared. Tell us promptly if you believe your account has been compromised.

Access to particular data tiers and features depends on your plan.

06Acceptable use

You may use Aedex for your own research and for your organization's internal business purposes. You may not:

  • Systematically extract, scrape or bulk-download the catalog, or rebuild a competing dataset from it.
  • Redistribute, resell or publish the underlying data outside your organization, beyond ordinary quotation with attribution.
  • Circumvent entitlements, rate limits, or any technical measure controlling access.
  • Probe, scan or stress-test the service without written permission, or interfere with its operation.
  • Use Aedex in violation of applicable law, including sanctions, securities and privacy law.

Some data reaches Aedex under licences that carry their own redistribution limits, which is why this section is stricter than it might otherwise be.

07Restricted and sealed information

Where an ownership interest sits in a jurisdiction whose disclosure rules restrict identification, Aedex shows that a holder exists and that it is sealed rather than naming it. Attempting to defeat that redaction, or to re-identify a sealed holder by combining Aedex data with other sources, is a breach of these terms.

08Bringing your own model key

If you connect your own model provider key, the agent runs on your account. That key stays on your device, is transmitted only to your provider, and is never stored on our servers. Your use of that provider is governed by your agreement with them, you are responsible for the usage billed to it, and we are not responsible for their availability, output or pricing.

Model output can be wrong. The agent shows its work so that you can check it; treat it as a research assistant, not an authority.

09Your content

Notes, custom assets, documents you upload and workspaces you build remain yours. You grant us only the licence needed to store, process and display that content back to you and to those you share it with.

You are responsible for having the right to upload what you upload, including any confidential document you put through document intelligence.

10Our content

The software, interface, design, and the structure, selection and arrangement of the catalog are ours or our licensors'. These terms grant you a limited, revocable, non-exclusive right to use the service — nothing more.

11Availability, disclaimers and liability

Aedex is provided on an as-is and as-available basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost opportunity, or investment losses. Our total aggregate liability is limited to the amounts you paid us in the twelve months before the claim.

Some jurisdictions do not allow certain exclusions, in which case those exclusions do not apply to you.

12Term, changes and governing law

Either of us may end this agreement at any time; you can close your account whenever you like. We may suspend access for a breach of these terms.

We may update these terms, and will announce material changes in the product rather than quietly publishing them. Continued use after a change means you accept it.

Governing law and dispute-resolution provisions will be set in the counsel-reviewed version that replaces this draft.
